1. General Terms
These terms govern all transactions between Jinhua Adore Beauty & Tech Co., Ltd. (\"Seller\") and the purchasing party (\"Buyer\"). By placing an order, the Buyer agrees to these terms.
2. Pricing & Quotation
Prices are quoted in USD unless otherwise agreed. Quotations are valid for 30 days. Prices may vary based on raw material costs, order quantity, and customization requirements. Final pricing is confirmed in the proforma invoice.
3. Payment Terms
Sample orders: 100% payment before production. Bulk orders: 30% deposit via T/T, 70% balance before shipment. Large orders (over $50,000): flexible payment terms available upon discussion. Accepted payment methods: T/T (bank transfer), L/C at sight.
4. Order Confirmation
Orders are confirmed upon receipt of deposit payment. A proforma invoice will be issued for the Buyer's review and confirmation before production begins.
5. Production & Delivery
Standard production time: 25-35 days after sample approval and deposit receipt. Custom orders may require additional time. Delivery terms: FOB Ningbo/Shanghai, CIF, or DDP as agreed. Shipping method: sea freight, air freight, or express as needed.
6. Minimum Order Quantity (MOQ)
MOQ varies by product. Standard products: 500-2000 pieces. Custom/OEM products: MOQ depends on customization level. Sample orders are accepted for quality evaluation before bulk orders.
7. Intellectual Property
For OEM/ODM orders, the Buyer retains ownership of their brand assets (logos, designs). Seller maintains confidentiality of Buyer's proprietary information. Seller retains ownership of standard formulas unless otherwise agreed.
8. Governing Law
These terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through friendly negotiation first, and if unresolved, through arbitration in Zhejiang Province.
